Legal Documents Relating to Emerald Bay Homeowners Association

These documents include the charter issued by the State of Tennessee when the Association was incorporated as
a non-profit corporation on January 22, 2007.
Also included is the agreement for the transfer of Common Properties from the Developer to the Association on January 26, 2007.
The Bylaws of the Association were filed on May 31, 2007. Covenants for the various sub-divisions were registered
at various times as the property was developed and homes were built.
In 2007 the Board brought an amendment to the membership of the Association to incorporate a Grievance Policy into
the Covenants of the five sub-divisions. The membership approved and the amendments were registered on November 14, 2007.
In 2008 the Board sought an amendment to the Bylaws of the Association to ensure that each sub-division would be
represented on the Board of Directors. Again the membership approved and the amendment was registered on December 1, 2008.

The following documents are those on file with Hamilton County, where the Developers assigned
all rights related to Architectural Review to the Emerald Bay Homeowners Association.

The following Policy document defines the responsibilities of all homeowners, property owners, and
potential buyers of such homes and properties to the Emerald Bay Homeowners Association.
